CONSTITUTION
ARTICLE I-NAME
The name of this organization shall be the NCAA Division II Conference Commissioners Association, hereafter referred to as the ?Association?. For incorporation purposes, the Association shall be registered as a not-for-profit organization in the state of Michigan as the ?Collegiate Commissioner?s Association?.
ARTICLE II-PURPOSE
The purposes of the Association shall be: (1) To encourage the discussion, consideration, and promotion of the views and policies of its members in relation to NCAA Division II intercollegiate athletics, and (2) To encourage and promote NCAA Division II intercollegiate athletics and high standards of sportsmanship as desirable elements of higher education.
ARTICLE III-OFFICERS / TERMS OF OFFICE
The officers of the Association shall be a President, Vice-President, Past-President and Secretary/Treasurer. The Vice-President shall succeed to the Presidency in even-numbered years and serve a term of two years. The Secretary-Treasurer shall serve a term of two years and may be reelected for subsequent terms.
ARTICLE IV-ELECTION OF OFFICERS
The Officers shall be elected in even-numbered years at the March meeting by a majority vote of the members present and voting and shall take office the following July 1.
ARTICLE V-BYLAWS
Qualification for membership, the duties of officers, and all regulations necessary and proper for conducting the business and affairs of the Association shall be set forth in the Bylaws.
ARTICLE VI-AMENDMENTS
This Constitution may be amended at any official meeting by a two-thirds majority vote of the members present and voting. However, a copy of the amendments to be proposed at such meeting shall be mailed to each regular member at least thirty (30) days in advance of the date on which the vote is to be taken, or the members present at any official meeting (who are entitled to vote) unanimously agree to the consideration of such an amendment.
BYLAWS
ARTICLE I-MEMBERSHIP
Section 1. Membership in the Association shall be limited to commissioners of NCAA Division II Conferences which have met the requirements for NCAA Division II voting conference status. Commissioners (or other representatives) of provisional member conferences shall be invited to attend all meetings and functions of the Association and participate in a non-voting capacity.

Section 2. A conference shall become a voting member of the Association when NCAA Division II voting conference status is approved and is considered effective in accordance with NCAA conference membership election requirements.
Section 3. The commissioner of each member conference shall have the administrative responsibility for the conference's membership in the Association.
ARTICLE II-FINANCES
Section 1. The dues for each member shall be decided at the March meeting each year and payable on or before July I of each year.
Section 2. This Association is an educational association, not for profit or financial benefit or increment to any of its members. The annual dues and all other monies, funds, property, or income which shall become the property of, or otherwise accrue to this Association from any source, shall be used and distributed solely for the purposes and operation of the NCAA Division II Conference Commissioners Association. None shall accrue to, become vested in, or be payable or distributed to any member of this Association.
ARTICLE III-OFFICERS / EXECUTIVE COMMITTEE
Section 1. President. The President shall preside at all meetings of the Association, and perform all other duties appropriate to the title and office. The President shall not lose the right to vote because of service as presiding officer. The President shall be the Association's primary liaison representative to the NCAA national office staff and membership.
Section 2. Vice-President. The Vice-President shall act as the presiding officer in the absence of the President and shall chair the Championships/Game Management Committee.
Section 3. Secretary/Treasurer. The Secretary/Treasurer shall keep the minutes of all meetings and maintain and update all appropriate records of the Association. The Secretary/Treasurer shall also be responsible for all receipts, expenditures, and financial records of the Association. The Secretary-Treasurer shall chair the Administrative Committee.
Section 4. Past-President. The Past-President shall serve as a member of the Executive Committee and shall chair the Legislative Committee and Nominating Committee.
Section 5. Executive Committee. The Executive Committee of the Association shall be comprised of the President, Vice President, Secretary/Treasurer and the immediate past President. The Executive Committee shall also be designated as the Nominating Committee and will be chaired by the Past-President.
ARTICLE IV-MEETINGS
Section 1. There shall be three official meetings of the Association annually. One meeting shall be held at the NCAA convention in January, one meeting shall be held at the NCAA Division II Elite Eight site (generally, in odd-numbered years this meeting will be held at the men?s site and even-numbered years at the women?s site) and one meeting shall be held the second weekend in October of each year. The Executive Committee shall have the authority to amend the meeting schedule when necessary and select the site of the October meeting.
Section 2. The President, after consultation with membership, may call additional meetings at which official business may be conducted.
Section 3. The President is authorized to take a mail or fax vote of all members at any time. The vote shall be, in all respects, as valid as though taken at a official meeting at which a quorum is present.
Section 4. The President shall take an electronic or regular mail or fax vote immediately when requested to do so by a majority of the members.
ARTICLE V-VOTE AND QUORUM
Section 1. Each member shall be entitled to one vote on any questions presented to the Association in conformity with its Constitution and Bylaws.
Section 2. Upon an electronic or regular mail or fax vote, a vote shall not be considered unless delivered in writing.
Section 3. A majority of the members of the Association present at any official meeting shall constitute a quorum.
Section 4. Official business, other than adjournment, may not be conducted at any meeting unless a quorum is present.
Section 5. Unless otherwise specified in these Bylaws, a majority vote of all members present shall be required to determine the Association's course in any matters introduced at any official meeting.

ARTICLE VI-AMENDMENTS
Section 1. These Bylaws may be amended at any official meeting by the affirmative majority vote of the members present and voting, or by the affirmative majority mail or fax vote of all members.
ARTICLE VII-ASSOCIATION COMMITTEES
Section 1. The standing committees of the Association shall be the Administrative Committee, Legislative Committee and the Championships/Game Management Committee. Committee assignments shall be made by the President in consultation with the Executive Committee. Such assignments shall be made every two years and run concurrent with the term of office of the President. Each member of the Association will be assigned to a standing committee with the exception of the President. The President shall have the authority to amend committee assignments and terms of appointment when necessary.
Section 2. The Executive Committee shall also be designated as the Nominating Committee and such committee shall be considered a special standing committee for the purpose of submitting a slate of nominations for the Association?s officer positions. The committee shall submit said slate at the March meeting in even-numbered years.
Section 3. The Executive Committee shall have the authority to establish ad hoc committees and project teams when it deems such groups are necessary to study or administer various Associations issues.
